The shareholders of Uniti Sweden AB (publ) are invited to attend the annual general meeting to be held on Friday 29 June 2018 at 10.00 a.m. at the company’s premises, Tellusgatan 13 in Lund, Sweden.
Right to participate
Shareholders who wish to participate in the annual general meeting must be recorded in the share register on the day of the meeting and notify the company of their intention to participate via e-mail to firstname.lastname@example.org no later than on Wednesday 27 June 2018. The notice shall include name, personal identity number or corporate registration number, number of shares held, address, daytime telephone number and, if applicable, information about proxy.
Shareholders represented by proxy shall issue a dated power of attorney for the proxy. If the power of attorney is issued on behalf of a legal entity, a certified copy of a registration certificate or corresponding document must be enclosed. The original power of attorney and, where applicable, the certificate, should be submitted to the company at the address stated above well in advance of the meeting.

Item 9 – Dividend distribution
The board of directors proposes that no dividend shall be paid and that the company’s accumulated loss shall be carried forward.
Item 2 and 11–13 – Board of Directors etc
The company’s major shareholder proposes the following:
Chairman of the meeting: Lawyer Christian Lindhé.
Number of members of the board of directors and deputies: Three Board members without any deputies.
Remuneration to the members of the board of directors: No remuneration shall be paid during the financial year 2018.
Board of directors: Re-election of Lewis Horne and Michael Molitor and the election of Lars Björk. The board member Fredrik Schillén has declined re-election.
Number of auditors and deputy auditors: One auditor without any deputies.
Remuneration to the auditor: In accordance with approved invoices within the scope of the tender.
Auditor: Re-election of KPMG AB.
Lars Björk completed his academic career in Lund. He later went on to become the CFO and COO of QlikTech International AB, a software company operating in the field of business intelligence (BI), before becoming the company’s CEO in 2007. In 2010, this company held their initial public offering on Nasdaq New York with Lars as its CEO. Today, Lars Björk resides in the United States and acts as both an advisor and investor to Uniti Sweden AB (publ).
Item 14 – Authorisation to issue new shares
The board of directors proposes that the annual general meeting resolves to authorise the board, for the period up to the next annual general meeting, to adopt decisions, whether on one or several occasions and whether with or without pre-emption rights for the shareholders, to issue new shares, provided however that any such issues may not exceed 10 per cent of the number of outstanding shares in the company’s as of the day of the annual general meeting. It should also be possible to make such an issue resolution stipulating in-kind payment, the right to offset debt or other conditions.
The purpose of the authorisation is to increase the financial flexibility of the company and the acting scope of the board of directors.
The annual report and other supporting documentation will be held available at the company at least three weeks before the meeting. Copies of these documents will be sent to shareholders who so request and provide their postal address.
